PUBLIC NOTICE OF PROPOSED ASSUMPTION OF DEPOSIT LIABILITIES Notice is given that application has been made to the Office of the Comptroller of the Currency (OCC) for Axos Bank, a federal savings bank ("Purchasing Institution"), headquartered at 4350 La Jolla Village Drive, Suite 140, San Diego, California 92122, pursuant to the Bank Merger Act (12 U.S.C. � ¯1828(c)), seeking approval to assume certain deposit liabilities from Jenius Bank, the online'only digital banking division of SMBC MANUBANK headquartered in Los Angeles, California. This transaction is structured solely as an assumption of deposit liabilities . No merger of bank charters is contemplated. It is contemplated that the main/home offices and branch offices of the above'named banks will continue to operate. Jenius Bank is an onlineonly digital bank. As such, no home office for Jenius Bank is implicated in this assumption of liabilities transaction. Branches/Offices Jenius Bank is an online'only digital division and operates no physical branches.
