PUBLIC NOTICE NOTICE OF PUBLIC HEARING IN THE MATTER OF THE JOINT PETITION OF AMERICAN WATER WORKS COMPANY, INC., NEW JERSEY-AMERICAN WATER COMPANY, INC., AND GORDON'S CORNER WATER COMPANY FOR: (1) AMERICAN WATER WORKS COMPANY, INC. TO ACQUIRE CONTROL OF GORDON'S CORNER WATER COMPANY; (2) GORDON'S CORNER WATER COMPANY TO TRANSFER UPON ITS BOOKS ALL OF ITS CAPITAL STOCK TO AMERICAN WATER WORKS COMPANY, INC.; (3) SHORTLY THEREAFTER, GORDON'S CORNER WATER COMPANY TO BE MERGED INTO NEW JERSEY-AMERICAN WATER COMPANY, INC.; AND (4) FOR SUCH OTHER APPROVALS AS MAY BE NECESSARY TO COMPLETE THE PROPOSED TRANSACTION BPU DOCKET NO. WM25110610 PLEASE TAKE NOTICE that on November 20, 2025, American Water Works Company, Inc. ("American Water"), Gordon's Corner Water Company ("Gordon's Corner"), and New Jersey-American Water Company, Inc. (the "Company", "NJAWC" or "New Jersey American Water"), (collectively, the "Joint Petitioners") submitted a Joint Petition to request approval by the New Jersey Board of Public Utilities ("Board" or "BPU"), of the acquisition and change in control of Gordon's Corner pursuant to the provisions of N.J.S.A. 48:2-51.1, 48:3-7, and 48:3-10, N.J.A.C. 14:1-5.10 and 14:1-5.14 (the "Proposed Transaction"). The Proposed Transaction entails the acquisition of Gordon's Corner by American Water and subsequent merger of Gordon's Corner with and into New Jersey American Water. As described in the Joint Petition, no rate changes are proposed in connection with the Proposed Transaction, however, subsequent to completing the merger, Gordon's Corner's ratepayers will be subject to any additional increases approved by the Board. The Board will evaluate the impact of the Proposed Transaction on competition, the rates paid by the customers of Gordon's Corner, the employees of Gordon's Corner, and the provision of safe and adequate utility service at just and reasonable rates. The Joint Petitioners state that the Proposed Transaction will not have an adverse impact on competition, rates, employees of Gordon's Corner, or on the provision of safe, adequate and proper utility service, and instead will provide positive benefits as demonstrated by the commitments included in the Joint Petition. Any relief determined by the Board to be just and reasonable may be applied by the Board in such a manner as it deems appropriate.
