Upon the reading and filing of the Verified Petition of Maria Bosch, as a holder of 50% of all outstanding shares of Hans Namuth, Ltd, a New York Corporation (the "Corporation"), for the judicial dissolution of the Corporation pursuant to Section 1104 of the New York Business Corporation Law ("BCL"), the exhibits thereto, the accompanying Memorandum of Law in support thereof, and upon all previous pleadings and proceedings heretofore had herein,
LET the Corporation, Respondent Tessa Namuth Papamedemetriou, and all interested persons, show cause before this Court at the Courthouse located at 401 Union Street, Hudson, New York 12534, on the 5th day of March, 2026 at 9:30 o'clock in the forenoon of that day or as soon thereafter as counsel can be heard, why an order or judgment should not be entered:
(a) dissolving Hans Namuth, Ltd. pursuant to BCL $1104;
(b) appointing a receiver or liquidating trustee pursuant to BCL §1113 to take charge of
the Corporation's assets and wind up its affairs; and
(c) granting such other and further relief as the Court deems just and proper.
IT IS FURTHER ORDERED, that a copy of this Order to Show Cause shall be published pursuant to BCL §1106(b) in the
Register Star
newspaper at least once in each
of the three weeks before the time set above to show cause, and it is further
ORDERED, that, pursuant to BCL §1106(c), a copy of this Order to Show Cause and the papers upon which it is based shall be served personally upon the New York State Department of Taxation and Finance, the Corporation, and Respondent Tessa Namuth Papamedemetriou at least ten days before the time appointed for the hearing, or by mailing a copy of this Order to Show Cause and the papers upon which it is based, postage prepaid, at least twenty days before the time so appointed, addressed to the person to be served at his/her/its last known address; and it is further ORDERED, that, pursuant to BCL §1106(d), a copy of this Order to Show Cause shall be filed within the Columbia County Clerk within ten days after the Order is entered, and it is further ORDERED, opposition papers, if any, shall be filed and served on or before February 26, 2026, and reply papers, if any, shall be filed and served on or before March 2, 2026.
