Hanlon Justice STATE OF NEW YORK, SUPREME COURT :: COUNTY OF CHAUTAUQUA In the Matter of the Judicial Dissolution of ONE HUNDRED MEMBER CLUB, INC., A New York Not-for-Profit Corporation AMENDED ORDER TO SHOW CAUSE INDEX NO.: EK1202600063 Upon the annexed petition for the Dissolution of the ONE HUNDRED MEMBER CLUB, INC., verified the 1st day of April, 2026, and upon all the prior papers and proceedings in this matter ORDERED that the Attorney General of the State of New York, and any and all persons having interest in this proceeding, SHOW CAUSE before the Honorable Grace M. Hanlon a Justice of this court, at the Courthouse, located at 3. North Erie Street, Mayville, New York, or virtually as the court may direct, on May 28, 2026 at 1:30 o'clock in the afternoon, or as soon as the parties to this proceeding may be heard, WHY an order should not be made and entered granting the following relief: 1. Issue an Order dispensing with the quorum requirements of the membership to vote for judicial dissolution and allowing such constructive notice to be completed by Publication of the Order to Show Cause on this Petition; 2. Issue a Judgment dissolving the ONE HUNDRED MEMBER CLUB, INC. pursuant to Article 11 of the New York Not-for-Profit Corporation Law; 3. Direct the distribution of the ONE HUNDRED MEMBER CLUB, INC.'s assets in accordance with law and the plan set forth in the Verified Petition; and 4. Grant such other and further relief as the Court deems just and proper. ORDERED, sufficient reason appearing therefore, leave is hereby granted to Petitioner to submit upon the return date of the within Order to Show Cause such additional evidence, exhibits, arguments, claims, and other proof, including documentary evidence and oral testimony, as may be necessary; and it is further ORDERED, this Order to Show Cause be made by publication in two newspapers; to wit, in the Jamestown Post-Journal and Dunkirk Observer, published in the county of Chautauqua, once a week, for four consecutive weeks, the first of which publication shall be made at least twenty-eight (28) days before the return date; and it is further, ORDERED, cause appearing therefore, let service of a copy of this order and the papers upon which it is granted on, to the Attorney General of the State of New York, by overnight delivery service on or before April 24, 2026, be deeded sufficient service.
