NOTICE OF PUBLIC HEARING The Board of Directors of the Calhoun County Navigation Industrial Development Authority (the "Authority") will hold a public hearing at 9:15 a.m., on Wednesday, May 13, 2026 at the administration office of the Calhoun Port Authority, 2525 South Farm-to-Market Road 1593, Point Comfort, Texas 77978 and via toll-free teleconference at Dial-In: 1 (888) 984-8470, Access Code: 5315326#. Among items to be discussed will be a proposal for the issuance by the Authority of revenue bonds or notes (the "Notes") to loan the proceeds thereof to Max Energy Industrial Holdings US, LLC (the "Company") or Max Midstream Texas, LLC, a wholly owned subsidiary of the Company (the "Max Midstream Texas") and used (i) to finance or refinance (including through the refunding of the Authority's outstanding (A) Facility Senior Revenue Notes (Max Midstream Texas, LLC Project), Series 2021A (Tax-Exempt AMT) and (B) Facility Senior Revenue Notes (Max Midstream Texas, LLC Project), Series 2021B (Taxable)) the acquisition, construction, reconstruction, development, installation and improvement of certain dock and wharf facilities, including port, wharf, dock, marine terminal, pipeline, storage, trucking, intermodal and other related facilities of the Calhoun Port Authority for the loading, unloading, transport, mixing, and storage of petroleum and other products (the "Project"); (ii) to fund certain reserves; (iii) to fund capitalized interest; and (iv) to pay certain costs of issuance of the Notes. The Project is or will be owned by the Calhoun Port Authority and leased to the Company, Max Midstream Texas or subsidiaries or affiliates thereof. The maximum aggregate principal amount of the proposed Notes to be issued is anticipated not to exceed $200,000,000. The Project is located at 1975 Farm-to-Market Road 1593 South, Point Comfort, Texas 77978. All interested parties are invited to submit written comments to the Authority at the address below prior to the time set for the public hearing, to call into the public hearing via teleconference or to attend the public hearing and express any comments they may have regarding the proposed Notes. This notice is published and the above-described hearing is to be held in satisfaction of the requirements of section 147(f) of the Internal Revenue Code of 1986, as amended, regarding the public approval prerequisite to the exemption from federal income taxation of interest on the Notes.
