Reqs min 5 yrs of exp. as an Associate w/in the Corporate, M&A, or PE practice group of an int’l law firm advising on corporate transactions & PE matters. Exp. must incl.: Providing legal due diligence & support to PE firms, funds, & portfolio cos. in sophisticated corp. transactions incl. leveraged buyouts, public & private M&A, divestitures, carve-outs, joint ventures, growth investments & strategic investments in the software, home services, energy, media & entertainment, real estate, & healthcare industries; Drafting corp. docs incl. merger agreements, asset transfer agreements, share purchase agreements, disclosure letters, limited guarantees, equity commitment letters, capital contribution agreements & governing docs incl. stockholder agreements, operating agreements & partnership agreements; Reviewing corporate legal docs to evaluate & analyze the legal risk of proposed transactions; Supporting due diligence review processes for domestic & int’l M&A transactions; & Coordinating w/ opposing counsel & other advisors incl. accountants, consultants, & brokers in complex M&A, strategic investments, & private equity transactions.
