Work within the M&A/Private Equity practice group to lead the representation & counsel of corporate & private equity clients in complex corporate transactions. Requires JD or LLM, or foreign equiv, & admission to the CA state bar. Requires 5 years exp. as an Associate or related w/ a law firm focusing on M&A transactions. Exp. must incl: Supporting deal execution by drafting, reviewing, & negotiating key transaction docs, stock & asset purchase agreements, merger agreements, LOIs, term sheets, & disclosure schedules; Coordinating due diligence reviews & preparing diligence reports; Advising on US & int’l M&A transactions in energy, infrastructure, and heavy industries sectors; Managing closing checklists & handling deal closings; Performing due diligence activities incl. reviewing target co. contracts, corp. documents, litigation, IP, compliance issues, & identifying & advising on legal risks to clients; Communicating w/ private equity sponsors, strategic buyers, portfolio cos., & mgmt teams to coordinate corp. transactions; Advising clients on deal structures, risk allocation, & negotiation strategies; Supporting M&A transactions by coordinating w/internal teams (incl. tax, antitrust, finance, employment) across multiple jurisdictions.
