Establishment of Mindset Ministry Express Trust for asset management and distribution.

THIS INDENTURE ("Agreement") is made and entered into this 5th day of January 2021 and shall serve as a Declaration of Express Trust. The term of this Trust shall continue for a period of twenty-five (25) years from the date hereof. This Agreement is by and between Charles A. Lanus Jr. , hereinafter referred to as the Settlor and Trust Protector (the "First Party"), and Bercy Acuna , hereinafter referred to as the Trustee , whether as First Trustee , Sole Trustee , or simply Trustee (the "Second Party"). The Trust shall operate under the name Mindset Ministry Express Trust , doing business as Charles Emperor, The Lord of Baton Rouge . Through this Agreement, the Parties hereby establish an Express Trust Organization for the benefit of the Trust Certificate Unit Holders . The purpose of the Trust is to identify, acquire, accumulate, purchase, and hold assets as they become available, and to provide for their prudent administration and distribution by legal persons acting in a fiduciary capacity.
WITNESSETH:
Whereas, the Settlor does hereby irrevocably assign, transfer, and convey to the Trustee , in trust, certain specified properties as described in the attached Trustee Minutes (1-1981) , said conveyance being secured and guaranteed by Business Service Bond No. ACC015002930 , issued by Allegheny Casualty Company as Surety , with Mindset Ministry Express Trust as Principal ;
In consideration of such transfer, one hundred (100) units of Beneficial Interest , referred to herein as Trust Certificate Units (TCUs) , shall be issued for each individual property conveyed, whether personal, real, tangible, or intangible. Said TCUs shall be held and administered by the Trustee(s) pursuant to this Indenture, for the exclusive benefit of the Beneficiaries, also known as the Members of Mindset Ministry Express Trust , doing business as Charles Emperor, The Lord of Baton Rouge .
Trust : The term "Trust" shall refer to an Express Trust , whether private or charitable in nature, together with any additions or contributions thereto, regardless of the manner, time, or place of its creation.
Property : The term "Property" shall mean any asset or interest that may be the subject of ownership, including but not limited to both real property (immovable) and personal property (movable), whether tangible or intangible.
Person : The term "Person" shall mean any natural person, individual or entity, including but not limited to a corporation, government or governmental subdivision, agency or instrumentality, business trust, estate, trust, partnership, limited liability company, association, or any other organization or entity.
Settlor : Charles A. Lanus Jr. is hereby designated as the Settlor of this Trust. In trust law, the Settlor is the individual who establishes the Trust by transferring property into it for the benefit of the Beneficiaries. The Settlor may also be referred to as the Trustor , Grantor , or Donor , depending on the applicable legal
jurisdiction. The Settlor manifests the clear intention to create this Trust and conveys assets to be held,

managed, and distributed according to the terms set forth herein.


Trust Protector : Charles A. Lanus Jr. , or any other individual hereafter designated by the Settlor, shall serve as the Trust Protector . The Trust Protector is a person appointed under this Trust Instrument with authority to oversee and safeguard the proper administration of the Trust. The Trust Protector shall have the power to direct, restrain, or remove the Trustee(s), and to appoint a successor Trustee as necessary, in accordance with the terms of this Trust. The Trust Protector acts as a fiduciary with duties to ensure that the Trust operates in alignment with the Settlors intent and the best interests of the Beneficiaries.
Trustee(s) : Bercy Acuna shall serve as the original Trustee of this Trust. The term Trustee(s) shall include any original, additional, or successor Trustee, whether or not appointed or confirmed by a court of law. A Trustee is a person or entity who holds legal title to the Trust property and administers such property or assets for the benefit of the Beneficiaries, in accordance with the terms and purposes of this Trust. The Trustee may be granted authority to make investment decisions, determine distributions to Beneficiaries, and perform other discretionary functions as outlined in this instrument. The Trustee shall also have the power to employ and compensate, as necessary, any individuals or firmsauthorized or unauthorized, affiliated or unaffiliatedincluding but not limited to accountants, attorneys, auditors, investment advisers, appraisers, or other agents, to advise or assist in the execution of fiduciary and administrative duties.
Beneficial Owner : Mindset Ministry Express Trust shall be recognized as the First Beneficiary and initial Beneficial Owner under this Trust, with additional Beneficiaries to be designated in the future as provided by the terms herein. A Beneficial Owner is an individual or entity that holds equitable rights to the use, and benefit of specific property held in trust, even though legal title to such property resides with another party, namely the Trustee. This equitable ownership entitles the Beneficial Owner to receive income, distributions, or other benefits derived from the Trust property. The Trustee, as holder of legal title, assumes fiduciary duties to manage the property in accordance with the best interests of the Beneficial Owner(s).
WHEREAS , the Trust Organization is duly authorized to exist and operate through its Board of Trustees , which shall be composed of all active Trustees who are legal persons holding fee simple title . For purposes of governance, no distinction shall be made between legal and equitable title. The Trustees shall not act individually but collectively as the Board , exercising their authority pursuant to their inalienable rights under Common Law .
WHEREAS , the Trust shall be amendable in accordance with the provisions set forth in its Bylaws , but shall remain irrevocable by the Settlor or by any other individual or entity. However, the Trustee may be removed by the Trust Protector , who shall have the authority to appoint a successor Trustee at their sole discretion. It is the clear intention of the Settlor to make an absolute gift of the Trust Certificate Units (TCUs) to the Beneficiaries . However, the Beneficiaries shall not possess any vested interest in the Trust or its assets until such time as this Trust is either (i) lawfully terminated and all accumulated assets are distributed, or (ii) assets are distributed pursuant to an authorized early distribution as allowed under the terms of the Trust. There shall be exactly one hundred (100) Trust Certificate Units (TCUs) established and available for allocation to the Beneficiaries.
WHEREAS , this Trust shall be administered, managed, governed, and regulated in all respects under the applicable principles of Common Law as recognized within the jurisdiction of the State of Texas . This Trust, its Trustees, and its Beneficiaries shall be bound by and invoke the protections afforded under the Articles of Confederation of 1781 , specifically Article IV , which states:

"The better to secure and perpetuate mutual friendship and intercourse among the people of the different states in this union, the free inhabitants of each of these states, paupers, vagabonds, and fugitives from justice excepted, shall be entitled to all privileges and immunities of free citizens in the several states; and the people of each state shall have free ingress and regress to and from any other state, and shall enjoy therein all the privileges of trade and commerce, subject to the same duties, impositions, and restrictions as the inhabitants thereof respectively; provided that such restrictions shall not extend so far as to prevent the removal of property imported into any state, to any other state of which the Owner is an inhabitant. Provided also that no imposition, duties, or restriction shall be laid by any state on the property of the United States, or either of them."
Accordingly, the Trust and its operations shall enjoy and assert all privileges, immunities, rights of trade, commerce, and free movement as recognized therein, subject to the limitations provided under Common Law.
WHEREAS , this Trust shall be administered, managed, governed, and regulated in all respects pursuant to the principles and protections of Common Law as recognized in the jurisdiction of Texas . The governance and interpretation of this Trust shall be in accordance with, and subject to, the following foundational legal authorities, as applicable:
 * The Treaty of Marrakesh
 * The Treaty of Tripoli
 * The Treaty of with Morocco (Peace and Friendship)
 * The Treaty Between the United States of America and the Sultan Sa'id of Maskat
 * The General Act of Algeciras
 * The Articles of Confederation (1781)
 * The Constitution of the United States of America
 * The Uniform Commercial Code  but only to the extent that its provisions are applicable and allowable under, and do not conflict with, the jurisdiction and principles of Common Law



The official domicile of this Trust shall be established within the Court of Equity in the State of Texas, within the Republic of the United States of America , which shall serve as the court of competent jurisdiction and final remedy when all other remedies or processes have been exhausted or have failed.
