NOTICE OF PUBLIC HEARINGCITY OF NAPA(THE MEADOWS OF NAPA VALLEY / PUBLIC HEARING) NOTICE IS HEREBY GIVEN that on March 3, 2026, at or after 3:30 p.m. in the City Council Chambers, City Hall, 955 School Street, Napa, California, a public hearing as required by Section 147(f) of the Internal Revenue Code of 1986 (the “Code”) will be conducted by the City Council of the City of Napa at which time and place all persons may attend and be heard upon the proposed issuance by the California Statewide Communities Development Authority (the “Issuer”) of qualified 501(c)(3) bonds, as defined in Section 145 of the Code, in one or more series from time to time pursuant to a plan of finance, in an amount not to exceed $125,000,000 (the “Bonds”). Proceeds of the Bonds are expected to be used by Odd Fellows Home of California, a California nonprofit public benefit corporation and an organization described in Section 501(c)(3) of the Code (the “Borrower”), to finance and/or refinance, in part, the acquisition, construction, equipping, improvement, renovation, rehabilitation, remodeling and/or equipping of projects located (i) at a retirement community facility consisting of independent living, assisted living and skilled nursing units and related support facilities known as The Meadows of Napa Valley, located at 1800, 1900 and 2000 Atrium Parkway, Napa, California 94559 (the “Napa Facilities”), in a principal amount not to exceed $15,000,000, and (ii) at a retirement community facility consisting of independent living, assisted living and skilled nursing units and related support facilities known as Saratoga Retirement Community, located at 14500 Fruitvale Avenue, Saratoga, California 95070 (the “Saratoga Facilities”), in a principal amount not to exceed $110,000,000. The Napa Facilities and the Saratoga Facilities are owned by the Borrower, and are managed and operated by Gerontological Services, LLC d/b/a GSI, a Washington limited liability company. Neither the faith and credit nor the taxing power of the City, the State or any other political corporation, subdivision or agency of the State is pledged to the payment of the principal of, premium, if any, or interest on, the Bonds, nor shall the City, the State or any other political corporation, subdivision or agency of the State be liable or obligated to pay the principal of, premium, if any, or interest on, the Bonds.
