NOTICE OF MEETING
NOTICE IS HEREBY GIVEN that the ORANGE COUNTY HEALTH FACILITIES AUTHORITY (the Authority) will meet in public session in Room 105 at the Orange County Administration Center, 201 South Rosalind Avenue, Orlando, Florida, on Friday, April 3, 2026, at 8:00 a.m.
The Authority meeting will be held for the following purposes:
I. Adopting resolutions (i)authorizing the issuance and sale by the Orange County Health Facilities Authority (the Authority) of its Orange County Health Facilities Authority Hospital Revenue Refunding Bonds (Orlando Health Obligated Group), Series 2026A in an aggregate principal amount not exceeding $240,000,000 (the Bonds), and the loan of the proceeds thereof to one or more of Orlando Health, Inc., a Florida not-for-profit corporation (Orlando Health), and Orlando Health Central, Inc., a Florida not-for-profit corporation (Health Central, and together with Orlando Health, the Borrowers) to be used to: (a) currently refund all or a portion of the outstanding Orange County Health Facilities Authority Hospital Revenue Refunding Bonds (Orlando Health Obligated Group), Series 2016A, issued in the original principal amount of $173,715,000 (the Series 2016A Bonds), the proceeds of which were used to refund certain other revenue bonds issued by the Authority for the benefit of Orlando Health, (b) currently refund all or a portion of the outstanding Orange County Health Facilities Authority Hospital Revenue Bonds (Orlando Health Obligated Group), Series 2016B, issued in the original principal amount of $66,575,000 (the Series 2016B Bonds, and together with the Series 2016A Bonds, the Prior Bonds), the proceeds of which were used to refinance the acquisition of the healthcare facilities of Health Central from the West Orange Healthcare District, and (c)pay certain costs of issuance of the Bonds, if deemed necessary or desirable by the Borrowers; and (ii)authorizing the execution and delivery of (a) a Forward Delivery Bond Purchase Agreement, providing for the sale of the Bonds, (b) a Bond Trust Indenture securing the Bonds, (c) a Loan Agreement providing for the loan of the proceeds of the Bonds to the Borrowers, (d) a Tax Exemption Certificate and Agreement relating to the Bonds, and (e) one or more escrow deposit agreements in connection with the refunding of the Prior Bonds, (iii)approving the execution and delivery by Orlando Health, as Obligated Group Agent, on behalf of itself, Health Central, South Lake Hospital, Inc., a Florida not-forprofit corporation (South Lake), OsceolaSC, LLC, a Delaware limited liability company (Osceola), OHI West, Inc., a Florida not-for-profit corporation (OHI West), OHMH, LLC, a Florida limited liability company (OHMH) and OHSRH, LLC, a Florida limited liability company (OHSRH, and together with Orlando Health, Health Central, South Lake, Osceola, OHI West, and OHMH, the Obligated Group), of a Supplemental Master Trust Indenture to a Second Amended and Restated Master Trust Indenture between the Obligated Group and The Bank of New York Mellon, as master trustee, and one or more Obligations to be issued thereunder securing the Bonds, (iv)providing that the Bonds shall not constitute a debt, liability or obligation of Orange County, Florida or of the State of Florida or of any political subdivision thereof, but shall be payable solely from the revenues provided therefor, and that neither the faith and credit nor any taxing power of Orange County, Florida or of the State of Florida or of any political subdivision thereof is pledged to the payment of the principal of, premium, if any, or interest on the Bonds, and (v) providing for other related matters.
II. Review and discussion of annual financial audit prepared by Cherry Bekaert LLP.
III. Considering such other business as may properly come before the Authority at such meeting.
Section 286.0105, Florida Statutes, states that if a person decides to appeal any decision made by a board, agency, or commission with respect to any matter considered at a meeting or hearing, he or she will need a record of the proceedings, and that, for such purpose, he or she may need to ensure that a verbatim record of the proceedings is made, which record includes the testimony and evidence upon which the appeal is to be based.
